Four Typical Pitfalls in Corporate Transactions

Whether you are buying or selling β€” these challenges arise in almost every deal and ultimately determine the price.

πŸ“Š

Uncertain Valuation

Business values are based on forecasts, synergies, and external factors β€” no one knows the future. Those who ignore this pay too much or sell too cheaply.

πŸ“„

Hard-to-Compare Offers

Different bidders structure their offers in completely different ways: liabilities, employee guarantees, patent rights, variable purchase price components. A direct comparison is nearly impossible without a system.

🦌

Capital Spooks Easily

A German proverb goes: "Capital is a shy deer". It means: Pointing to competitors too early or too directly risks scaring off potential buyers. And yet the impression of competition must remain perceptible.

🀝

Conflicts of Interest Among Advisors

Investment banks are indispensable for marketing. But in the price negotiation itself, the long-term relationship with the counterpart often plays a role for them as well.

How Structured Negotiation Helps

Anticipate Negotiations Instead of Reacting

The core of our work is anticipation: we think through in advance how counterparties will react to certain moves β€” and design the process accordingly. This turns surprises into the exception, not the rule.

At the same time, we formalise the internal decision-making process β€” so that all stakeholders decide on the same basis and no valuable time is lost through internal alignment loops.

  1. Clarify the Valuation Framework Make uncertainties explicit and reflect them in contract terms β€” rather than ignoring them.
  2. Introduce a Common Price Language Translate all offers into a unified monetary system so that genuine price sensitivity emerges.
  3. Engineer Competition Choose the right mechanism β€” auction, bilateral negotiation, or hybrid process β€” depending on market conditions.
  4. Set the Agenda Deliberately Place price last, negotiate interests instead of positions, and cluster topics strategically.
  5. Separate Roles Clearly Investment bank for market reach, IFAMD as mandated lead negotiator for maximum negotiation success.

Example: What Happens When the Buyer Over-Promises

Aggressive offers sound tempting β€” but often conceal significant risk for the seller. A concrete example shows what this looks like in practice.

The Startup That Was Sold Too Expensively β€” for the Founder

A startup was up for sale. The founder was still active as managing director. A private equity investor offered a high variable component tied to profits over the first three years β€” and thus became the preferred exclusive negotiating partner.

The transaction was completed. But then the hoped-for success failed to materialise β€” due to external factors that neither the buyer nor the founder could influence.

The result: for the founder, the failure was far more painful than for the investor. With the variable compensation structure, the PE firm had elegantly shifted the risk of an overly high purchase price onto the seller.

The lesson:

Anyone who focuses only on the nominally highest price loses. Aggressive bidders must be treated with caution β€” because their high offer is often accompanied by hidden risks for the seller. Hard auction formats are not adequate in such situations. Structured analysis of the uncertainties on both sides protects against such traps.
